You may use our website only for lawful purposes and in accordance with these Terms.

You agree not to:

Use the website for unlawful purposes

SignalScale reserves the right to restrict or terminate access to the website when reasonably necessary.

3. Consultations and Proposals

Information displayed on the SignalScale website is provided for general informational purposes.

A website description, service description, pricing reference, advertisement, or other marketing material does not necessarily constitute a binding offer to provide services.

Before services begin, SignalScale and the client may enter into a separate written agreement establishing the applicable services, pricing, payment terms, responsibilities, deliverables, and other conditions.

If there is a conflict between these Terms and a signed client agreement, the signed client agreement will control with respect to the specific services covered by that agreement.

4. Service Systems

SignalScale may offer services under various service packages or systems, including the Genesis System, Exodus System, and Kings System.

These systems represent general service categories and may change over time.

The services, deliverables, features, pricing, and implementation associated with a particular system may vary depending on the client's business, needs, goals, technical environment, and applicable agreement.

SignalScale may modify, replace, or discontinue individual services or features when reasonably necessary.

5. Pricing and Payment

Prices displayed on our website may be presented as starting prices, general pricing information, or estimates of typical service costs.

The actual price charged to a client will be established through the applicable agreement or invoice.

Unless otherwise stated in writing:

Clients are responsible for paying invoices by their stated due dates.

Payment obligations are not dependent on achieving a particular marketing result.

Third-party costs may be separate from SignalScale service fees.

Advertising budgets are generally separate from SignalScale management fees unless expressly included in writing.

Taxes, payment-processing fees, software fees, advertising costs, domains, hosting, and other third-party expenses may be charged separately where applicable.

If a payment becomes overdue, SignalScale may suspend services, access, campaigns, automations, or other deliverables until the account is brought current, subject to the applicable agreement and law.

6. Third-Party Services

SignalScale may use third-party platforms and services to provide certain services.

Examples may include website platforms, CRM systems, advertising platforms, analytics services, payment processors, email providers, messaging providers, hosting providers, and other software.

SignalScale does not control third-party services and cannot guarantee their continued availability, functionality, pricing, policies, or performance.

Changes, outages, suspensions, policy changes, or technical failures involving third-party platforms may affect services provided by SignalScale.

Where a third-party platform is required for a client's service, the client may also be subject to that platform's separate terms and policies.

7. Marketing and Performance

SignalScale works to improve clients' digital presence, lead generation, customer acquisition, and related business performance.

However, SignalScale does not guarantee a specific number of leads, customers, appointments, sales, revenue, rankings, advertising results, return on investment, or other business outcomes unless expressly guaranteed in a separate written agreement.

Marketing performance depends on numerous factors outside SignalScale's control, including:

Market conditions

Competition
Pricing

Customer demand

Business reputation

Client responsiveness

Sales ability

Advertising budgets

Website conversion rates

Search engine and advertising platform algorithms

Third-party platform policies

Geographic market

Seasonality

Quality and availability of client-provided information

Any examples, case studies, projections, testimonials, or performance figures presented by SignalScale are illustrative and should not be interpreted as guarantees of future results.

8. Client Responsibilities

Clients are responsible for providing accurate, complete, and timely information necessary for SignalScale to perform services.

Clients are also responsible for:

Providing required access to relevant accounts and platforms

Reviewing and approving materials when requested

Maintaining accurate business information

Responding to leads and customers in a timely manner

Providing accurate pricing and service information

Maintaining necessary licenses, permits, and insurance

Ensuring that their business practices comply with applicable laws

Providing lawful and properly licensed content, images, trademarks, and other materials

SignalScale is not responsible for delays or performance issues caused by inaccurate, incomplete, or delayed client information or approvals.

9. Client Content and Intellectual Property

Clients retain ownership of content and materials they provide to SignalScale, subject to any separate agreement.

Clients represent that they have the necessary rights and permissions to provide such materials for use in connection with the services.

Unless otherwise agreed in writing, SignalScale retains ownership of its pre-existing intellectual property, proprietary processes, templates, systems, strategies, methodologies, software configurations, frameworks, documentation, and other materials developed independently of a particular client.

Client ownership of final deliverables, if applicable, will be determined by the applicable client agreement.

10. SignalScale Intellectual Property

The SignalScale name, logo, branding, website, designs, systems, methodologies, written materials, graphics, software configurations, templates, and other original materials are owned by or licensed to SignalScale unless otherwise stated.

You may not reproduce, distribute, modify, sell, sublicense, reverse engineer, or commercially exploit SignalScale's proprietary materials without written permission.

11. Advertising Accounts and Third-Party Platforms

Where SignalScale manages advertising or other third-party accounts on behalf of a client, the client understands that platform availability and performance are outside SignalScale's control.

Advertising platforms may reject advertisements, restrict accounts, change policies, suspend accounts, modify algorithms, or experience outages.

SignalScale will make commercially reasonable efforts to manage campaigns according to the applicable agreement but cannot guarantee that any advertising platform will approve or continue to run a campaign.

12. Reviews, Testimonials, and Reputation Services

Where SignalScale provides reputation-management services, clients remain responsible for the accuracy and legality of customer reviews, testimonials, incentives, offers, and related communications.

SignalScale will not knowingly create or publish false reviews or misleading testimonials on behalf of a client.

Clients are responsible for complying with applicable laws and platform policies governing reviews, endorsements, testimonials, and customer communications.

13. Communications and Messaging

Where SignalScale provides email, SMS, calling, or other communication services, clients are responsible for providing appropriate consent and complying with applicable laws and regulations governing communications.

Clients must not use SignalScale systems to send unlawful, deceptive, abusive, fraudulent, or unauthorized communications.

SignalScale may suspend messaging or communication functionality when it reasonably believes that a client is violating applicable law, platform policies, or these Terms.

14. Confidentiality

SignalScale and its clients may receive confidential business information from one another during the course of a business relationship.

Each party agrees to use reasonable care to protect confidential information received from the other party and to use such information only for legitimate purposes related to the business relationship.

Confidential information does not include information that:

Is publicly available through no breach of an obligation

Was already lawfully known by the receiving party

Is independently developed without use of confidential information

Is lawfully received from a third party without a confidentiality obligation

Must be disclosed by law or legal process

Additional confidentiality obligations may be established in a separate agreement.

15. Disclaimer of Warranties

To the maximum extent permitted by law, the SignalScale website and its content are provided on an "as is" and "as available" basis.

SignalScale does not warrant that:

The website will always be available or uninterrupted

The website will be error-free

Information on the website will always be complete or current

Third-party platforms will remain available

Services will produce a particular business result

Marketing campaigns will achieve a particular performance level

Search engines or advertising platforms will produce a particular result

Nothing in these Terms excludes warranties or rights that cannot legally be excluded under applicable law.

16. Limitation of Liability

To the maximum extent permitted by law, SignalScale and its owners, officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to use of the website or services.

To the maximum extent permitted by law, SignalScale's total liability arising from a particular service relationship will not exceed the amount actually paid by the client to SignalScale for the specific services giving rise to the claim during the six-month period preceding the event giving rise to the claim.

This limitation does not apply to liability that cannot legally be limited or excluded under applicable law.

17. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless SignalScale, its owners, officers, employees, contractors, and service providers from claims, liabilities, damages, losses, costs, and expenses arising from:

Your unlawful use of the website or services

Your violation of these Terms

Your violation of another person's rights

Content or materials you provide to SignalScale

Your business operations

Your violation of applicable laws or regulations

Your misuse of SignalScale systems

This provision does not require indemnification for claims caused by SignalScale's own unlawful conduct or matters that cannot legally be indemnified.

18. Termination

SignalScale may suspend or terminate access to the website or services when reasonably necessary, including in response to:

Nonpayment

Material breach of these Terms

Fraudulent or unlawful activity

Abuse of SignalScale personnel or systems

Security threats

Misuse of third-party platforms

Other circumstances permitted by the applicable agreement

Termination of services does not eliminate payment obligations that accrued before termination.

Client-specific cancellation and termination rights will be governed by the applicable service agreement.

19. Changes to These Terms

SignalScale may update these Terms from time to time.

Updated Terms will be posted on this website with a revised "Last Updated" date.

Your continued use of the website after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.

Changes to an existing client's contracted services will be governed by the applicable client agreement.

20. Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles, except to the extent applicable federal law or another mandatory law provides otherwise.

21. Dispute Resolution

Before initiating formal legal proceedings, the parties agree to make a good-faith effort to resolve disputes informally by communicating with one another.

If a dispute cannot be resolved informally, the parties may pursue any remedies available under applicable law.

Nothing in this section prevents either party from seeking emergency or injunctive relief when necessary to protect rights or property.

22. Severability

If any provision of these Terms is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.

23. Entire Agreement

These Terms constitute the general terms governing use of the SignalScale website.

For clients receiving paid services, the applicable proposal, service agreement, order, subscription agreement, or other written agreement may contain additional terms governing the specific client relationship.

In the event of a conflict, the applicable signed client agreement will control with respect to the services covered by that agreement.
